Multi member LLC becomes a Single member LLC, does the EIN need to be changed and how to file W-9

Starting a new thread since I can't post follows on the original topic here:

However I can't find this anywhere on the IRS page. @TaxGuyBill is this still a valid link? I ask because I came across this page on the IRS website: https://www.irs.gov/businesses/small-businesses-self-employed/do-you-need-a-new-ein

 

It doesn't seem to reference the quote you had provided from the original link. It doesn't reference anything related to MMLLC to SMLLC. The only reference I see it about Partnerships and it says that if one partner takes over and starts operating as a sole proprietor the one needs a new EIN.

This site seems to state that no new EIN is required when moving from MMLLC to SMLLC: https://www.llcuniversity.com/irs/ein-responsible-party-for-llc/

 

In my case it was a MMLLC with a S-Corp election. Then it changed to a SMLLC (taxed as a sole proprietor) and the S-Corp election was withdrawn. So I'm trying to figure out 2 things:

 

1. Do I need a new EIN?

2. How should I fill out a W-9 without invalidating my LLC protections. Should I use my LLC name with EIN, my name with EIN or my name with SSN?

There is no previous topic with your username, on this community forum. You don't want to post on old topics. T he regulations change. The program functions change.

The W9 is not the right question. That's the form you send to customers.

You mean, where you commented that you were not even sure you had useful and current links, and because I was not going to check your links one by one, but I went directly to the known current and applicable resources, I provided that link to you directly and now you don't have to look for it, yourself? Did you read it? It has the answer you seek. What part about that specific link is in doubt?

See do I need a me a Ein on irs website and the answer is probably yes and see ITA interactive tax assistant .

No W9 before its time . Withholding agent after not before a letter from audit request will give name ,address .and phone of the agent assigned to your company.

If you don’t have. Corporate form to report 1099 income requirements then your name will appear on the letter. The requestor is the IRS agent and the only one who can actually know that it did not match in the first place. You would be able to tax withholding from a company or person and set up Form 945 for withholding. See instructions if required. Is if your are required by IRS. Privacy act . Last page 2024 .. it’s phone call.. IRS is calling requesting you to return your information to me the requestor . A form is IRS and is just as a phone call.. IRS logo you can’t say I printed and I am required and responsible.. who made you in charge? Not the IRS then you don’t impersonate an IRS agent. You have a contract with a company or person that is not your employee and they are not your responsibility.
